Solo 401k Eligibility: Who Can Open One

Before we address rollovers, it’s essential to confirm eligibility.
A Solo 401(k) is designed for the self-employed — individuals or business owners who have no full-time W-2 employees (other than a spouse). To qualify:

  • You must have self-employment activity that generates income.

  • You cannot employ any non-owner, full-time W-2 employees (age 21+ working 1,000+ hours per year).

  • Your spouse can participate in the same plan if they also work for the same business.

If your self-employed business hires Independent contractors and part-time employees (under 1,000 hours), they do not disqualify the plan. However, hiring a full-time employee in the future may require converting the Solo 401(k) to a traditional employer 401(k) or IRA.

 Can You Roll a Roth IRA into a Solo 401k?

Here’s the short answer: No.
IRS rules prohibit transferring Roth IRA funds into any type of 401(k), including a Solo 401(k).

This is not a Solo 401(k) restriction — it’s a Roth IRA restriction. The IRS makes it clear in Publication 590, which governs IRAs, that Roth IRA funds cannot be rolled into an employer-sponsored plan. The rule prevents the mixing of Roth IRA assets with employer plan assets.

So, you can never transfer a Roth IRA — whether directly or indirectly — into a Solo 401(k), even if both accounts are Roth.

 Rollovers That Are Allowed

While Roth IRAs cannot be rolled in, the following transfers are permitted:

  • Traditional IRA → Solo 401(k)

  • Roth 401(k) → Roth Solo 401(k)

  • SEP IRA (only pre tax funds) → Solo 401(k)

  • SIMPLE IRA → Solo 401(k) (after the 2-year participation period)

💡 Note: Transferring funds does not affect your annual contribution limits. For example, if you roll over $200,000 from a Traditional IRA, you can still make full Solo 401(k) contributions for that tax year.
